Why owners choose to sell their businesses with Baton
Most businesses that sell on Baton are worth $1M–$10M, and we work with owners up to around $50M.
In numbers you actually track, that's usually $300K–$2M+ a year in profit (SDE or EBITDA). Our minimum profit is $100K. Revenue is a looser guide since margins vary so much by industry but we typically work with businesses above $1M+.
Below $1M we look at it case by case. We've sold plenty of smaller businesses - what matters more is the quality of the business and how ready you are to sell.
The tech we use to collect and store your financial data meets the highest security standards, from mandatory security training and background checks to continuous monitoring to keep your data safe.
Yes, it’s illegal for us to share your private business data without your consent, and we would never try. We use your company’s financial data only to estimate the valuation with accuracy.
Ideal: the last three years of P&L, broken out by month. That gives us the most accurate read.
We can also work from a trailing 12-month P&L, or from tax returns if those are easier to pull.
If your most recent year isn't closed out yet, that's fine - we'll start with what you have and refresh the valuation once your books are current. No extra cost to you either way.
We can complete a valuation with just one year of financial data. However, providing more information helps create a more accurate and comprehensive assessment. Ideally, you can share your Profit & Loss (P&L) statement for the trailing 12 months or the most recent full year. If those aren't available, we can also work with your tax returns.
There are 4 main ways buyers find Baton:
Baton Database: Like all top-notch sell-side M&A advisors, we have our own network of high-quality buyers.
Competitor Campaign: We scout all relevant local competitors to see if they are interested in expansion.
Relevant Listing Sites: We purchase high-visibility placements on sites like BizBuySell.
Baton Network: Our investors include Bloomberg, Giant Ventures, Trust Fund, etc. creating additional exposure traditional brokers can’t.
We have three primary buyer types:
Small (Owner/operators who have passion and knowledge of your industry).
Medium (Strategic buyers looking to add value to their portfolios or Competitors).
Large (Serial entrepreneurs and professional money buyers).
Our average time to close is 6 months, and we have a 70% close rate on deals.
We do have experience with stock sales. The only difference between a stock sale and an asset sale is the contract & the diligence intensity since the buyer assumes all liabilities.
Having to close the business/business is no longer salable
Personal reasons (illness, sudden change in life circumstances)
Change of heart: Owners decides to continue running the business after all
