About this business
This is a federal IT company built around a proprietary cloud based logistics platform that has run in more than 70 countries at 99.9% uptime. The business has earned Exceptional contractor performance ratings from the federal government in every assessment period for six consecutive years. Founded in 2017, it designs, develops and deploys mission critical software for federal agencies and the prime contractors that serve them. Roughly 60% of revenue comes from recurring platform licensing and maintenance, and the remaining 40% from solution delivery project work.
The platform was the first cloud deployed warfighter system in its agency’s history and was cited as a deciding factor in a major federal logistics award. It is built on modern architecture with AI agent integration and serverless cloud hosting, and it is FedRAMP compliant. The business holds exclusive US distribution rights to the platform under a long standing partnership with its UK based developer. The platform itself is not part of the sale, and the owner’s separate 15% equity interest in the developer is also excluded.
Revenue currently comes through a single prime contractor relationship that has run for more than seven years with zero churn. 2026 is a transition year. The prime’s major logistics contract changed hands in 2025, and the owner deliberately paused business development while repositioning, so 2026 revenue is below prior years. The annual recurring maintenance payment continued in 2026. The business is in active teaming discussions with the primes on a major agency IT vehicle and with the incumbent on an upcoming recompete, which gives a buyer a clear path to diversify.
The founder will stay on after the sale as Chief Solutions Architect, with a 90 day and 12 month transition plan, and is open to an employment agreement and an earnout tied to new contract awards. He brings more than 30 years of federal IT experience. The core delivery team has worked together for over 15 years and is contracted, so the business scales by project without fixed payroll. The business is fully remote and relocatable, with no physical space required.
The business will be sold cash free and debt free, with existing SBA loans paid off from proceeds at closing. A normal level of working capital will be agreed in the LOI.
